Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the services provided by EMEZ Aviation, LLC (“EMEZ,” “we,” “us,” or “our”), including jet charter, aircraft management, and brokerage services. By accessing or using our services, you agree to be bound by these Terms.

1. Services

EMEZ Aviation provides:

  • Jet charter services through a vetted network of Part 135 and international operators.
  • Aircraft management services, including dispatch, compliance, crew coordination, and maintenance oversight.
  • Brokerage services for aircraft acquisition, sales, and lease negotiations.

EMEZ does not operate aircraft directly unless otherwise noted and acts solely as an intermediary agent or broker.

2. Charter Bookings
  • Charter availability is subject to confirmation and operator acceptance.
  • Quotes are valid for a limited time and may vary based on aircraft availability, fuel pricing, or government restrictions.
  • Full itinerary, passenger manifests, and required travel documentation must be submitted at least 24 hours before departure.
  • Clients are responsible for the accuracy of all submitted information.
3. International Charters
  • Clients must ensure all passengers have valid passports, visas, and travel documents compliant with destination country entry laws.
  • EMEZ is not responsible for denied boarding or entry due to non-compliance with international immigration, customs, or health regulations.
  • International charters may incur additional costs such as overflight permits, customs handling, landing fees, and government taxes, which will be billed separately.
  • Clients are responsible for understanding and complying with any international sanctions, restricted airspace, or embargoed destinations.
4. Payments and Fees
  • Payment terms will be specified in each charter agreement or invoice.
  • Accepted forms of payment include wire transfer, ACH, or credit card (processing fees may apply).
  • Invoices unpaid after due date are subject to 1.5% monthly interest or the highest rate permitted by law.
  • Flight time, wait time, crew duty limits, and service fees may affect final billing.
5. Insurance
  • All chartered aircraft are insured by their respective operators, typically with industry-standard hull and liability policies.
  • EMEZ does not provide direct insurance coverage.
  • Clients may request a certificate of insurance (COI) from the operator, naming them as additional insured when applicable.
  • For aircraft under management, EMEZ requires owners to maintain appropriate hull, liability, and third-party insurance coverage with EMEZ named as additionally insured.
6. Client Responsibilities
  • Passengers must comply with FAA, TSA, and international safety/security regulations.
  • Clients are responsible for any damage to aircraft or property caused by their party.
  • No illegal items, contraband, hazardous materials, or unapproved weapons may be transported.
  • Special requests (e.g., pets, catering, medical needs) must be disclosed and approved prior to confirmation.
7. Aircraft Substitution or Downtime
  • In the event of a mechanical issue, EMEZ will make reasonable efforts to arrange a replacement aircraft.
  • EMEZ is not responsible for costs resulting from delays or cancellations caused by operator issues, weather, airspace restrictions, or force majeure events.
8. Aircraft Management & Brokerage
  • Terms for aircraft management are outlined in a separate Aircraft Management Agreement.
  • Aircraft acquisitions or sales are governed by separate written brokerage agreements.
  • EMEZ acts as an intermediary and cannot guarantee transactional results or aircraft performance post-sale.
9. Non-Disclosure and Confidentiality
  • All client data, passenger information, flight itineraries, aircraft ownership, and commercial terms are treated as strictly confidential.
  • EMEZ and its affiliates agree not to disclose any confidential information to third parties without written consent, unless required by law.
  • Clients and partners may be required to sign a separate Non-Disclosure Agreement (NDA) for sensitive transactions or ongoing engagements.
  • All NDAs will survive the termination of any service or engagement unless otherwise specified.
10. Limitation of Liability
  • EMEZ is not liable for any direct or indirect damages, including loss of use, loss of profits, or business interruption, arising from use of its services.
  • Total liability for any claim will not exceed the amount paid to EMEZ for the specific service in question.
11. Indemnification

You agree to defend, indemnify, and hold harmless EMEZ Aviation, its employees, affiliates, and subcontractors from any and all claims, damages, or expenses arising out of:

  • Breach of these Terms,
  • Use of chartered aircraft or services,

Violation of law or third-party rights.

12. Intellectual Property

All branding, logos, designs, materials, and content on EMEZ’s website or client materials are the property of EMEZ Aviation, LLC and may not be reused without express written permission.

13. Governing Law

These Terms shall be governed by the laws of the State of [Insert State], and any dispute will be resolved in the courts located in [Insert County and State], unless otherwise agreed.

14. Dispute Resolution
  • Parties agree to first attempt good-faith negotiation.
  • If unresolved, disputes may proceed to mediation or arbitration before litigation, unless urgent injunctive relief is required.
15. Amendments

We reserve the right to modify these Terms at any time. Updates will be published on our website, and continued use of our services constitutes acceptance.
